Terms of Service

Our services are intended for businesses and for users who are at least 16 years old and able to form a binding contract. If you use the services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

Elemus offers, among other things:

• Free content and tools — articles, calculators, checklists, and assessments made available on the Site.
• Memberships — recurring subscriptions (currently Pro at $299/month and Enterprise at $500/month) that unlock additional courses, templates, tools, and features.
• One-time digital purchases — individual courses, template packs, and reports sold for a one-time fee.
• Sprints — fixed-scope, fixed-price implementation engagements delivered under a separate statement of work or order.

Features, pricing, and availability may change. Where a separate agreement (such as a sprint statement of work or an enterprise order) conflicts with these Terms, that agreement controls for the services it covers.

Memberships are billed in advance on a recurring basis (monthly unless otherwise stated) through our payment processor, Stripe. By starting a subscription, you authorize us to charge your payment method on each renewal until you cancel. If a payment fails, Stripe may retry, and we may pause or suspend access if payment cannot be collected.

You may cancel at any time from your portal or by contacting us. Cancellation stops future renewals; your access continues through the end of the current billing period. Except as required by law or expressly stated, recurring fees already charged are non-refundable.

Individual course purchases include lifetime access to that course. Template packs and reports are licensed to you for your and your organization’s internal business use. These digital goods are delivered immediately upon purchase.

Because these are digital products delivered instantly, purchases are generally non-refundable. If we issue a refund at our discretion or as required by law, we may revoke access to the associated digital product upon refund.

Sprints are scoped, priced, and delivered under a separate statement of work or order that describes deliverables, timeline, fees, and success criteria. Sprints typically require appropriate access to your systems and cooperation from your team. Unless the statement of work says otherwise, sprints include a defined post-delivery support window; fees for professional services are non-refundable once work has begun.

If you connect a third-party system (such as HubSpot or Salesforce) or upload files for analysis, you represent that you are authorized to grant that access and to share that data, and that doing so does not violate any agreement or law. You grant us a limited license to access, process, and store that data solely to provide the services you request. You can disconnect a system or request deletion of uploaded data at any time. Our handling of personal information is described in our Privacy Policy.

Certain features use artificial intelligence to generate assessments, diagnostics, recommendations, and other outputs. These outputs are provided for informational and decision-support purposes, may contain errors or omissions, and should be independently reviewed before you rely on them. You are responsible for decisions you make based on any output. We do not warrant that AI-generated outputs are accurate, complete, or suitable for any particular purpose.

You agree not to:

• use the services in violation of any law or third-party right;
• share, resell, or redistribute paid content or credentials without authorization;
• reverse engineer, scrape, or attempt to gain unauthorized access to the services or their systems;
• interfere with or disrupt the integrity, security, or performance of the services; or
• upload malware or content you are not authorized to share.

The Site and its content — including articles, courses, templates, tools, software, and branding — are owned by Elemus or its licensors and are protected by intellectual property laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the content you have purchased or been given access to, for your and your organization’s internal business use only.

For sprint deliverables, ownership of the specific work product delivered to you is addressed in the applicable statement of work; Elemus retains ownership of its pre-existing materials, methodologies, and reusable components.

The services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that any particular result, outcome, or return on investment will be achieved. Any figures or estimates shown in tools or content are illustrative only.

To the maximum extent permitted by law, Elemus and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the services. Our total liability for any claim relating to the services will not exceed the amount you paid to us for the services giving rise to the claim during the twelve months preceding the event. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

You agree to indemnify and hold Elemus harmless from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the services, your data or connected systems, or your violation of these Terms or any law or third-party right.

We may suspend or terminate your access to the services if you breach these Terms, fail to pay, or use the services in a way that creates risk or legal exposure. You may stop using the services at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, and indemnification — will survive.

These Terms are governed by the laws of the United States and the state in which Elemus LLC is organized, without regard to conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in that state, and you consent to their jurisdiction, unless a separate signed agreement provides otherwise.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the services after changes take effect constitutes acceptance of the revised Terms.
